These Brand Terms & Conditions ("Brand Terms") govern your access to and use of the VeryHum platform, website, and related services (together, the "Platform") as a Brand. They form a binding legal agreement between you ("you", "Brand") and Alena Ramic, trading as VeryHum ("VeryHum", "we", "us", "our").

VeryHum is operated from Germany and currently focuses its services on the United States and Canadian market. VeryHum is a brand and platform operated by Emir Ramic. Emir Ramic acts as Founder and CEO of VeryHum. Alena Ramic acts as CFO and legal representative for billing and administrative matters.

By creating a Brand account, accessing the Platform, or launching any campaign, the individual accepting confirms they are authorised to bind the Brand, and the Brand agrees to be bound by these Brand Terms, the Privacy Policy, and any applicable Data Processing Agreement ("DPA"), each incorporated by reference. If the Brand does not agree, it must not use the Platform.


1. The Platform and our role

1.1 VeryHum operates an online marketplace that connects Brands with independent reviewers ("Reviewers") so that Reviewers can experience the Brand's products or services and publish honest, first-hand reviews ("Reviews").

1.2 VeryHum is a neutral intermediary. We do not author Reviews and we do not, and will not, allow Reviews to be solicited, rewarded, or filtered on the basis of their sentiment or rating. The integrity of Reviews is the core value of the Platform.

2. Eligibility and account

2.1 The Brand must be a business or organisation acting in a commercial capacity, and the person registering must have authority to bind the Brand.

2.2 The Brand must provide accurate registration, billing, tax, and contact information and keep it current.

2.3 The Brand is responsible for all activity under its account and for safeguarding its credentials, and must notify us promptly at hello@veryhum.com of any unauthorised use.

3. The central commitment: accept honest Reviews, including negative ones

This is a condition of using the Platform. The Brand agrees that:

3.1 You will accept all honest Reviews, including negative ones. You will not require, pressure, or expect Reviewers to provide positive feedback, and you understand that genuine critical Reviews are a normal and lawful part of the Platform.

3.2 No suppression of genuine Reviews. You will not ask VeryHum or any Reviewer to remove, alter, downrank, hide, or condition the publication of a genuine Review because it is negative or unfavourable. Suppressing or selectively publishing honest reviews is prohibited by the FTC Rule on Consumer Reviews and Testimonials (US) and by EU consumer law and may trigger significant penalties. (VeryHum may still remove content that is unlawful, harassing, abusive, obscene, off-topic, or that we reasonably believe is fake.)

3.3 No sentiment-for-reward. You will not offer, and you will not ask VeryHum to facilitate, any compensation, free or discounted product, or other benefit that is conditioned on a Reviewer expressing a particular sentiment — whether positive about you or negative about a competitor.

3.4 No fake or insider Reviews. You will not create, commission, buy, sell, or submit fake Reviews; will not have your officers, managers, employees, agents, or their relatives post Reviews of your products without clearly and conspicuously disclosing that connection; and will not use AI or any other means to fabricate Reviews or indicators of influence.

3.5 No misrepresentation of Reviews. When you display, quote, or repurpose Reviews (on your website, ads, packaging, or elsewhere), you will present them truthfully, in context, without distortion, and with any disclosures required by applicable law. You will not represent VeryHum Reviews as independent editorial endorsements where a material connection exists.

4. Legal compliance for review-based marketing

4.1 The Brand is responsible for ensuring that its own use of Reviews and endorsements complies with all applicable advertising, consumer-protection, and endorsement laws, including the FTC Endorsement Guides and Rule on Consumer Reviews and Testimonials (US), the Unfair Commercial Practices Directive as amended by the Omnibus Directive (EU), the UK Digital Markets, Competition and Consumers Act, and equivalent local rules.

4.2 The Brand acknowledges that VeryHum requires Reviewers to disclose material connections (e.g. receipt of free or discounted products) and agrees not to instruct or encourage Reviewers to omit or obscure such disclosures.

5. Products, services, and safety

5.1 The Brand is solely responsible for the products and services it makes available, including their quality, safety, legality, labelling, fulfilment, warranties, and compliance with all applicable laws and standards.

5.2 The Brand will not offer through the Platform any product or service that is illegal, unsafe, recalled, counterfeit, or restricted, or that VeryHum reasonably prohibits.

5.3 VeryHum does not manufacture, inspect, or warrant any Brand product and bears no product-liability responsibility.

6. Campaigns, fees, and payment

6.1 The features, scope, deliverables, and pricing of each campaign or subscription are as set out in the applicable order, plan, or on-Platform terms ("Order").

6.2 The applicable fees, billing cycle, currency, included services, payment timing, cancellation terms, and any refund rules will be set out in the applicable Order, plan, proposal, or on-Platform checkout terms.

6.3 Unless stated otherwise, fees are exclusive of applicable taxes; the Brand is responsible for any VAT, sales tax, GST/HST, or similar taxes that may apply.

6.4 The Brand authorises VeryHum (and its payment processors) to charge the Brand's chosen payment method for amounts due.

7. Intellectual property and licences

7.1 The Brand grants VeryHum a worldwide, non-exclusive, royalty-free licence to use the Brand's name, logos, trademarks, product images, and campaign materials as needed to operate and promote the relevant campaign on the Platform.

7.2 VeryHum (and/or its Reviewers, as set out in the Reviewer Terms) retain rights in the Platform and in Review content respectively. The Brand receives only the rights expressly granted for displaying genuine Reviews relating to its own products, subject to Section 3 and 4.

7.3 The Brand represents that it owns or is licensed to use all materials it provides and that they do not infringe third-party rights.

8. Data protection

8.1 Each party will comply with applicable data-protection laws, including the GDPR and the CCPA/CPRA.

8.2 Where VeryHum makes Reviewer personal data available to the Brand (for example, for shipping a product or for verification), the parties will determine their respective roles (controller / processor / joint controllers) and execute a Data Processing Agreement where required. The Brand will process Reviewer personal data only for the agreed campaign purpose, keep it secure, not sell it, and delete or return it when no longer needed.

8.3 VeryHum does not sell personal data. The Brand must not use Reviewer data for unrelated marketing or any purpose the Reviewer has not been informed of and, where required, consented to.

8.4 International transfers of personal data will be made only under an appropriate transfer mechanism (e.g. EU Standard Contractual Clauses).

9. Acceptable use

The Brand will not: misuse or attempt to circumvent the Platform's integrity controls; scrape or harvest data except as permitted; interfere with the Platform's operation; or use the Platform to harass Reviewers or retaliate against Reviewers for honest feedback.

10. Suspension and termination

10.1 Either party may terminate for convenience as set out in the applicable Order or, absent an Order term, on 30 days' notice.

10.2 VeryHum may suspend or terminate the Brand's access immediately for breach of Section 3, 4, or 5, for non-payment, or for unlawful or fraudulent conduct.

10.3 On termination, the Brand's licence to use the Platform ends; genuine published Reviews may remain available as permitted by law. Sections that by nature survive (including 4, 7, 8, 11, 12, 13, and 15) will survive.

11. Warranties and disclaimers

11.1 Each party warrants it has the authority to enter into these Brand Terms.

11.2 The Platform is provided "as is" and "as available". To the maximum extent permitted by law, VeryHum disclaims implied warranties and does not warrant any particular number, rating, or sentiment of Reviews, or any commercial outcome.

12. Limitation of liability

12.1 Nothing excludes liability that cannot lawfully be excluded (including for fraud or for death/personal injury caused by negligence).

12.2 Subject to 12.1, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.

12.3 Subject to 12.1, VeryHum's total aggregate liability arising out of or relating to the Platform is limited to the total fees paid by the Brand to VeryHum in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

The Brand will indemnify and hold harmless VeryHum and its affiliates against third-party claims, losses, damages, liabilities, and reasonable costs (including legal fees) arising from: (a) the Brand's products or services; (b) the Brand's use, display, or repurposing of Reviews; (c) the Brand's breach of these Brand Terms or of any advertising, consumer-protection, endorsement, or data-protection law; or (d) the Brand's infringement of third-party rights. This does not apply to the extent caused by VeryHum's own breach or negligence.

14. Changes to these Brand Terms

We may update these Brand Terms from time to time and will give reasonable notice of material changes. Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

15.1 These Brand Terms are governed by the laws of Germany, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods, unless mandatory law requires otherwise.

15.2 The courts with jurisdiction over VeryHum's operator in Germany have exclusive jurisdiction, subject to any mandatory consumer-protection or business-protection rules that cannot be waived.

16. General

16.1 Entire agreement. These Brand Terms, the Privacy Policy, any DPA, and the applicable Order are the entire agreement; in case of conflict, the Order governs for commercial terms and the DPA governs for data processing.

16.2 Severability; no waiver; assignment; force majeure — as standard: invalid provisions are severed; non-enforcement is not waiver; the Brand may not assign without consent while VeryHum may assign in a corporate transaction; neither party is liable for events beyond its reasonable control.

16.3 Independent parties. Nothing creates a partnership, agency, or employment relationship between the parties or between VeryHum and any Reviewer.
