These Reviewer Terms & Conditions ("Reviewer Terms") govern your access to and use of the VeryHum platform, website, and related services (together, the "Platform") as a Reviewer. They form a binding legal agreement between you ("you", "Reviewer") and Alena Ramic, trading as VeryHum ("VeryHum", "we", "us", "our").
VeryHum is operated from Germany and currently focuses its services on the United States and Canadian market. VeryHum is a brand and platform operated by Emir Ramic. Emir Ramic acts as Founder and CEO of VeryHum. Alena Ramic acts as CFO and legal representative for billing and administrative matters.
Please read these Reviewer Terms carefully. By creating a Reviewer account, accessing the Platform, or submitting any review, you confirm that you have read, understood, and agree to be bound by these Reviewer Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Platform.
1. Who we are and what the Platform does
1.1 VeryHum operates an online marketplace that connects independent reviewers with brands and businesses ("Brands") so that Reviewers can experience products or services and publish honest, first-hand reviews ("Reviews").
1.2 VeryHum is a neutral intermediary. We do not author Reviews, we do not instruct Reviewers on what to say, and we do not pay or reward Reviewers based on the sentiment, rating, or content of any Review.
1.3 These Reviewer Terms apply only to your use of the Platform as a Reviewer. Brands are subject to separate Brand Terms & Conditions.
2. Eligibility
2.1 You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into a binding contract.
2.2 You must register and maintain only one Reviewer account, in your own real name, and provide accurate, current, and complete information.
2.3 The Platform is not directed to children. We do not knowingly permit anyone under 18 to register. See our Privacy Policy for details.
2.4 You may not use the Platform if you are barred from doing so under applicable law or have previously been removed from the Platform.
3. Your account
3.1 You are responsible for safeguarding your login credentials and for all activity under your account.
3.2 You must notify us promptly at hello@veryhum.com of any unauthorised use or security breach.
3.3 You must keep your profile and contact information up to date so that we and Brands can communicate with you and meet legal obligations (e.g. verification, tax, and payments).
4. The core promise: honest, independent Reviews
This is the heart of the Platform. By submitting any Review, you represent and agree that:
4.1 Genuine experience. The Review reflects your own genuine, first-hand experience of the product or service. You will not review anything you have not actually received and used.
4.2 Honest and unbiased. The Review is your honest opinion, is not misleading, and is not influenced by any agreement, payment, or instruction to express a particular view.
4.3 No fake or fabricated Reviews. You will not create, submit, sell, buy, or trade fake, fabricated, duplicate, or AI-generated Reviews, Reviews that misrepresent your identity or experience, or Reviews purporting to be from a person who does not exist. (Using ordinary writing aids to fix grammar or spelling on a Review of a product you genuinely used is permitted; fabricating the substance of a Review is not.)
4.4 No sentiment-for-reward. Your eligibility, compensation, free or discounted products, ratings, badges, or continued participation are never conditioned on writing a positive review (or a negative review about a competitor). You are free to give any honest rating, including a negative one, with no penalty.
4.5 No insider conflicts. You will not review a product or service of a Brand with which you have an undisclosed material relationship (for example, you or a close family member work for, own, or are an agent of the Brand). If any such relationship exists, you must disclose it clearly within the Review and we may decline to publish it.
5. Disclosure of material connections (mandatory)
5.1 Because you may receive a free or discounted product, payment, points, early access, the chance to win something, or another benefit in connection with a Review, the law in the United States (FTC Endorsement Guides and the FTC Rule on Consumer Reviews and Testimonials), the European Union (the Unfair Commercial Practices Directive as amended by the Omnibus Directive), the United Kingdom, and other jurisdictions requires that this "material connection" be disclosed clearly and conspicuously.
5.2 You agree to include any disclosure label, tag, or statement that VeryHum provides or requires (for example, "I received this product through VeryHum in exchange for an honest review"), and not to remove, obscure, or alter it. Where you republish or reference a Review off-Platform (e.g. on social media), you must make an equivalent clear and conspicuous disclosure in that medium.
5.3 You acknowledge that the disclosure obligation exists regardless of whether the Review is positive or negative, and that failure to disclose may expose both you and VeryHum to legal liability.
6. Verification
6.1 To support the authenticity of Reviews and to comply with EU transparency rules, VeryHum may take reasonable steps to verify that you actually received and used the product or service before a Review is published (for example, by confirming a transaction, shipment, redemption, or unique code).
6.2 You agree to cooperate with reasonable verification requests and not to attempt to circumvent them.
7. Prohibited content and conduct
You will not submit any Review or other content, or use the Platform, in a way that:
- is unlawful, defamatory, harassing, threatening, hateful, or discriminatory;
- is obscene, sexually explicit, or otherwise inappropriate with respect to race, gender, sexuality, ethnicity, religion, or disability;
- infringes any intellectual property, privacy, publicity, or other right of a third party;
- discloses another person's private or personal data without authorisation;
- contains malware, spam, advertising, or links unrelated to the Review;
- impersonates any person or misrepresents your affiliation;
- manipulates ratings or attempts to game the Platform (e.g. coordinated reviewing, bots, multiple accounts); or
- violates any applicable law or these Reviewer Terms.
We may remove or refuse to publish content that breaches this Section, or that is unlawful, harassing, abusive, obscene, or that we reasonably believe to be fake — while never removing a genuine Review merely because it is critical or negative.
8. Intellectual property in your Reviews
8.1 You retain ownership of the original content you create.
8.2 You grant VeryHum and the relevant Brand a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to host, store, reproduce, display, distribute, adapt (for formatting and length only, without altering meaning), and use your Review and associated rating, username, and profile image in connection with operating, promoting, and improving the Platform and the Brand's lawful, accurate use of genuine reviews.
8.3 You represent that you own or have all rights necessary to grant this licence and that your content does not infringe any third-party rights.
8.4 If a Brand wishes to use your Review in its own paid advertising beyond display of the genuine review, any such use remains subject to applicable advertising and endorsement law and to any additional consent the Platform requires.
9. Rewards, products, and taxes
9.1 Any product, discount, payment, points, or other benefit you receive is provided on the terms communicated at the time of the relevant campaign and is not conditioned on the content or sentiment of your Review.
9.2 You are solely responsible for determining and meeting any tax, customs, or reporting obligations arising from products or compensation you receive, and for providing any tax information legally required for payments.
9.3 Products are provided by Brands, not by VeryHum. Any warranty, safety, or product-liability matter relating to a product is the responsibility of the Brand and/or manufacturer.
10. Data protection and privacy
10.1 VeryHum processes your personal data in accordance with the GDPR, the California Consumer Privacy Act/CPRA, and other applicable data-protection laws, as described in our Privacy Policy.
10.2 We do not sell your personal data. Where we share data with Brands or service providers, we do so as described in the Privacy Policy and under appropriate safeguards.
10.3 You understand that your Review and the username/profile you choose to display will be visible publicly and/or to Brands and cannot be made fully private once published.
11. Suspension and termination
11.1 You may stop using the Platform and close your account at any time.
11.2 We may suspend or terminate your account, with or without notice, if you breach these Reviewer Terms — and immediately in the case of fake, fraudulent, or undisclosed-incentive Reviews, or other serious or unlawful conduct.
11.3 Sections that by their nature should survive termination (including Sections 8, 9.2, 12, 13, 14, and 16) will survive.
12. Disclaimers
12.1 The Platform is provided "as is" and "as available". To the maximum extent permitted by law, VeryHum disclaims all implied warranties.
12.2 VeryHum is an intermediary and is not responsible for the products or services offered by Brands, nor for dealings between Reviewers and Brands. Nothing in this Section limits any non-excludable statutory rights you may have as a consumer.
13. Limitation of liability
13.1 Nothing in these Reviewer Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.
13.2 Subject to Section 13.1, to the maximum extent permitted by applicable law, VeryHum will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.
13.3 Subject to Section 13.1, VeryHum's total aggregate liability arising out of or relating to the Platform is limited to the greater of (a) the total benefits or payments you received through the Platform in the twelve (12) months before the event giving rise to the claim, or (b) EUR 100.
13.4 If you are a consumer in the EU/EEA, your mandatory statutory rights are unaffected, and the limitations above apply only to the extent permitted by the consumer-protection law of your country of residence.
14. Indemnity
To the extent permitted by law, you agree to indemnify VeryHum against losses, damages, and reasonable costs arising from your breach of these Reviewer Terms, your Reviews, or your violation of any law or third-party right. This Section does not apply to the extent a loss results from VeryHum's own breach or negligence, and does not apply to EU/EEA consumers beyond what mandatory law permits.
15. Changes to these Reviewer Terms
We may update these Reviewer Terms from time to time. If a change is material, we will give reasonable advance notice (e.g. by email or in-Platform notice). Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Platform.
16. Governing law and disputes
16.1 These Reviewer Terms are governed by the laws of Germany, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods, unless mandatory law requires otherwise.
16.2 If you are a consumer, you benefit from any mandatory provisions of the law of the country in which you reside; nothing here deprives you of that protection.
16.3 EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
16.4 For users in the United States or Canada, nothing in these Reviewer Terms limits any mandatory consumer rights that cannot legally be waived.
17. General
17.1 Entire agreement. These Reviewer Terms and the Privacy Policy are the entire agreement between you and VeryHum regarding the Platform.
17.2 Severability. If any provision is held unenforceable, the remainder stays in effect.
17.3 No waiver. Our failure to enforce a provision is not a waiver.
17.4 Assignment. You may not assign these Reviewer Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
17.5 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
